TERMS AND CONDITIONS

1. Terms and Conditions

These Terms and Conditions ("Terms") apply to the ZIPZERO Monthly Free Prize Draw (each monthly free prize draw, a "Draw").

These Terms detail your rights and your obligations in the Draw. Please take the time to read these Terms carefully because, as a participant of the Draw, you will be legally bound to adhere to these Terms. In addition, please be advised that the Terms may be updated from time to time. We will inform the participants of these changes on an ongoing basis.

By entering the Draw, you agree to be bound by these Terms. You must not participate in the Draw if you disagree with these Terms. 

2. THE PROMOTER

ZIPZERO Global Limited, a company registered in England and Wales under number 11786825, with its registered office at WeWork Aviation House, 125 Kingsway, London WC2B 6NH, United Kingdom ("ZIPZERO", "we", "us", and "our") is the promoter of the Draws. Each Draw is run and promoted solely by us.

3. ELIGIBILITY AND ENTRY

Each Draw is open only to the ZIPZERO App users at least 18 years of age who meet the eligibility criteria and are not in breach of these Terms or ZIPZERO App Terms of Service.

You must not work for us or our affiliates and must not have been involved in setting up or running the Draws.

You are not obliged to enter and participate in a Draw.

If you wish to enter the Draw, select the appropriate option in the App settings menu. In such case, you opt-in to each subsequent Draw, provided you meet all the eligibility criteria in these Terms. You must change your selection in the App settings menu to opt out of any future Draw. 

There is no purchase or entry fee to enter any Draw. The lack of participation in a Draw does not limit your ability to use the App.

Each Draw will run for a calendar month ("Qualifying Period"). The first Draw will commence on January 1^st, 2023, and close on January 31^st, 2023. 

New Draw will run each month after the first Draw unless we discontinue them. 

We do not guarantee any minimum number of Draws. We reserve to discontinue the Draws where we have legal, security, technical or commercial reasons. We will endeavour to notify you thereof in advance via the email address associated with your account or via pop-up notification in the App.

By entering the Draw, you confirm that you are eligible to do so. To be eligible for a Draw, you must:

1. Actively use the App within the Qualifying Period, which means successfully scanning into the App or sharing with us a total of at least five valid receipts or valid online purchase confirmations within the Qualifying Period; and
2. Have a minimum 0.01 Unit balance in your ZIPZERO Wallet (including both Base Reward Units and Premium Reward Units). Your Units balance for any Qualifying Period will be calculated at 23:59 GMT on the last day of each month; and
3. Have active consent within the Qualifying Period to receive our marketing information by email. To do so please tick the relevant boxes in the “Settings” section of the App to adjust your marketing preferences.

Each £0.01 Unit in your ZIPZERO Wallet will equal one entry in a Draw. There is no limit of entries per participant per Draw.

Provided you meet the eligibility criteria (and have not opted out of the Draw), you will automatically be entered into each Draw, subject to these Terms.

We may require you to prove that you are eligible to enter or win a Draw. We have the sole decision on whether the eligibility criteria or any other requirements have been met. Suppose you don't meet or stop meeting any eligibility criteria after entering any Draw, or we have grounds to believe that you have breached these Terms, including by deception or fraudulent conduct. In that case, you may be disqualified, and any Prize you may have won as a disqualified participant will be forfeited.

4. PRIZES. WINNER SELECTION. NOTIFICATION

There will be one grand prize and additional prizes per Draw (each, a "Prize"). 

The current Prize pool is included in the Appendix to these Terms

A Prize is Units, not cash. You can only use the Units by redeeming them for a Reward (ordering bill payment) subject to ZIPZERO App Terms of Service. We will not redeem Units for cash payments to you or any third party.

A Prize is not negotiable or transferable and may not be claimed by a third party on any winner's behalf.

Within seven days following the Qualifying Period Prize winners will be selected randomly using unbiased selection software.

Each participant can win only one Prize in the given Draw.

We will notify each Prize winner of their Prize via the email address associated with their account. The winner is not required to confirm the win.

The Prize (number of Units) will be automatically added to the winner's ZIPZERO Wallet as available Premium Reward Units.

Our decision in respect of winners is final and binding in all respects on all entrants.

We will create and keep a record of the winners of all Draws.

5. SUPPORT. QUERIES AND COMPLAINTS

If you need support concerning a Draw, particularly in the case of any problems you have may entering and participating in a Draw, including any errors, bugs, or interruptions, as well as any queries or complaints related to a Draw, please review our FAQs, or contact our support team at [e-mail].

We endeavour to respond to your query or complaint in a timely fashion – we anticipate a maximum of 30 days to resolve any issues.

6. PERSONAL DATA

We will process the personal data of the participant as the controller to:

1. run and administer the Draws under these Terms - the basis of the processing is the necessity of processing for the conclusion and performance of the agreement between us governed by these Terms,
2. to comply with our legal obligations, for example resulting from tax and accounting regulations - the basis of the processing is the necessity of processing to ensure compliance with legal obligation to which we are subject,
3. to pursue our legitimate interests, including:
1. dealing with your inquiries, claims, and complaints,
2. preventing fraud, misuse of the App, and breach of these Terms,
3. maintaining security for the App and our IT systems,
4. establishing, exercising, or defending against legal claims.

7. LIABILITY

Any Prizes won as part of any Draw are granted without being taxed. Winners will be responsible for any potential individual tax liabilities. We are not able to provide tax advice. Please seek independent tax advice if you have questions about your tax status.

Unsuccessful participants have no claim or action against us due to entering and participating in a Draw.

Under no circumstances shall we be held liable to you or any third party for any indirect, incidental, punitive, special, or consequential damages or any loss of profits, use, data, or other intangible property resulting from, arising out of, or in any way relating to these Terms or the subject matter hereof, even if we have been advised of the possibility of such damages.

We shall not be held liable for any business-related losses you suffer as a result of our breaking these Terms, including loss of profits, loss of business, loss of contracts, loss of business opportunity, and business interruption.

We shall not be deemed in default hereunder, nor shall it be held responsible for any cessation, interruption, or delay in the performance of its obligations hereunder due to reasons beyond our reasonable control (force majeure). In such events, we will endeavour to (a) give you notice thereof within a reasonable timeframe given the circumstances and (b) take all reasonably necessary under the circumstances to mitigate the effects of the force majeure upon which such notice is based.

Where we are found to be liable to you, the user, our total liability (regardless of the number of claims brought) shall be the total value of any Rewards you received from us under ZIPZERO App Terms of Service during the previous twelve months from the time when a claim is brought forward.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. In other words, we do not exclude or limit our liability to you for (i) death or personal injury caused by our negligence or the negligence of our directors, officers, employees, and agents, (ii) for fraud or fraudulent misrepresentation, or (iii) for any liability that cannot be excluded or limited by law.

8. CHANGES TO THESE TERMS

We reserve the right to change these Terms, including, but not limited to, the Prize pool, from time to time, without notice, effective for the next Qualifying Period.

We will inform you of any changes we make to these Terms via the email address associated with your account or via pop-up notification in the App. We will endeavour to notify you thereof in advance. All updates to these Terms will be published in the App. 

If you do not opt out of a Draw after the changes to these Terms come into force, you thereby accept the new Terms. However, should you object to any changes to these Terms, your sole recourse is to opt out of the Draws. 

9. GOVERNING LAW. JURISDICTION

These Terms, subject matter, and formation are governed by the laws of England and Wales. 

All parties referred to in these Terms agree that the courts of England and Wales will have exclusive jurisdiction, except in the case of a resident of Northern Ireland, who may also bring proceedings forward in Northern Ireland, and are resident of Scotland, who may also bring proceedings forward in Scotland.

10. FINAL PROVISIONS

Any failure by us to enforce any of our rights or obligations within these Terms will not constitute a waiver of our rights to subsequently enforce such provision or any other provision of these Terms.

The invalidity or unenforceability of any one or more sections of these Terms shall not affect the validity or enforceability of its remaining provisions, and each provision of these Terms shall be effective to the maximum extent permissible under applicable law.

These Terms constitute the entire agreement of the parties concerning the matters contemplated hereby.
